TERMS & CONDITIONS

This usage agreement (hereafter referred to as "this Agreement") sets the terms of use for the Services provided by aiQ Corp. Ltd. (hereafter referred to as "Company").

1. Applicability

  • 1.1 This Agreement applies to all relationships related to the use of this service between Company and the users (hereafter referred to as "users") who use the Services, as described in Article 2.1.

2. Contents of the Service

  • 2.1 Company will provide one or more of the following services to users:
    (1) aiQ Geolocation
    (2) aiQ Geolocation REIT
    (3) aiQ POS Consumer Goods
    (4) aiQ POS Retailers
    (5) aiQ POS Electronic Goods
    (6) Sample data released on the aforementioned services.
    2.2 Users can use the Service by following the procedures separately defined by Company, and entering into a basic contract and individual contracts (hereinafter collectively referred to as "usage contracts"). Users can view various data provided on the Service.
    2.3 Notwithstanding the preceding paragraph, sample data of the Service, which is publicly available on database services operated by various data vendors, can be viewed without concluding the usage contracts. However, this Agreement applies even when viewing and using sample data of the Service. Sample data can only be used for the purpose of considering the use of the Service, and it is prohibited for commercial use, such as making investment decisions.
    2.4 Company may change the contents of the Service without prior notice to users, as long as it does not contradict the contents of this Agreement and the usage contracts.

3. Prohibited Activities

  • 3.1 Unless specified in this Agreement, the usage contracts, or permitted by Company on Company's website, users must not engage in the following activities through the Service:
    (1) Acts that are against public orders and morals, criminal activities, other activities that violate laws and regulations, or activities that promote or risk promoting such actions. (2) Actions that may harm other users or third parties.
    (3) Actions that hinder the operation of the Service or damage its reputation.
    (4) Accumulating (including scraping) or secondary use (including editing, processing, provision to third parties, and distribution) of various information provided in the Service.
    (5) Providing or distributing screenshots of the Service to third parties.
    (6) Other activities deemed inappropriate by Company.

4. Disclaimer

  • 4.1 Company does not guarantee the content, accuracy, completeness, reliability, usefulness, marketability, merchantability, or suitability of the various pieces of information provided within the Service (including sample data from the Service). Company and data providers bear no responsibility for any damages incurred based on such information.
    4.2 Company does not solicit or recommend the buying or selling of financial products, including securities, through the Service. Users shall make investment decisions on their own and use the Service for transactions accordingly. Company bears no responsibility for the results of transactions made using the Service.
    4.3 Company bears no responsibility for all damages, direct or indirect, that arise in relation to the provision of the Service by Company and/or the use of the Service by users (including damage to hardware, other software malfunctions, etc.). Company also bear no responsibility for any claims made by third parties or disputes that arise between users and third parties.
    4.4 Company bears no responsibility for any direct or indirect damages incurred by users due to unforeseeable and insurmountable events, such as earthquakes, lightning strikes, fires, power outages, natural disasters, cyber-attacks, and other events beyond Company's control.

5. Personal Information

  • 5.1 When users register their personal information in Company's system, Company will handle it appropriately and manage it strictly in accordance with the privacy policy stipulated separately.

6. Exclusion of Anti-social Forces

  • 6.1 Users represent, warrant, and commit that they do not and will not fall under any of the following categories:
    (1) Being a gang, gang member, quasi-gang member, gang-affiliated company, racketeer, social activist, or special intelligence violence group, or any similar entities (hereinafter collectively referred to as "anti-social forces").
    (2) Having a relationship that is recognized as using anti-social forces for the purpose of seeking unlawful gains for oneself or a third party or for the purpose of causing damage to a third party.
    (3) Having a relationship that is recognized as providing funds or benefits to anti-social forces. 6.2 Users shall not engage, either by themselves or using third parties, in any of the following acts:
    (1) Demands by violent acts.
    (2) Unjust demands beyond legal responsibilities.
    (3) Threatening behavior or using violence in relation to transactions.
    (4) Disseminating false rumors, using fraudulent tactics, or exerting force to damage Company's reputation or obstruct Company's operations.

7. Measures Against Violations

  • 7.1 If a user violates any provision of this Agreement and, as a result, causes damage to Company, the user shall be liable to compensate Company for all damages incurred (including attorney's fees).
    7.2 If Company determines that a user has violated any provision of this Agreement, Company may, without any notice or any other procedure, suspend the provision of the Service, terminate part or all of the usage contracts, and demand the deletion of all data provided by Company, including sample data, as well as its copies and any accumulated, processed, or edited materials.

8. Governing Law & Jurisdiction

  • 8.1 The interpretation of this Agreement shall be governed by Japanese laws.
    8.2 In the event of a dispute arising in relation to the Service, the Tokyo District Court shall have exclusive jurisdiction as the court of first instance.
